Terms and Conditions for Reselling Our Digital Products


We value the cooperation of our Partners in distributing and reselling our digital products. To ensure the rights and responsibilities of both parties, as well as to prevent fraudulent activities, we present the following detailed terms and policies:


1. Deposit and Dealer Leveling


1.1. Deposit
• No deposit required for Basic Level (No discount applicable).
• Minimum deposit for discounts is 1000$ (except for Basic Level).
• Each dealer (except for Basic Level) is required to deposit an amount corresponding to the level they wish to achieve when registering.
• This deposit will be converted into account balance and added with a discount according to the level (except for Basic Level).
• When making purchases, the system will automatically deduct the amount from the dealer’s account balance.


1.2. Dealer Leveling and Discounts
Level 0 Dealer (Basic)
   - No deposit required.
   - Discount: 20% on each purchase.
   - Suitable for partners who want to experiment and get familiar with the product before deciding on a bigger investment.

* Level 1 Dealer (Starter)
   - Deposit required: 1000$ or achieve revenue of over 1,000$ within 3 months
   - Discount: 30% on each purchase.
   - Upgrade condition: Achieve revenue of over 1,000$ within 3 months.

* Level 2 Dealer (Advanced)
   - Deposit required: 3,000$ or achieve revenue of over 2,000$ within 3 months
   - Discount: 40% on each purchase.
   - Upgrade condition: Achieve revenue of over 3,000$ within 3 months.

* Level 3 Dealer (Professional)
   - Deposit required: 5,000$ or achieve revenue of over 3,000$ within 3 months
   - Discount: 50% on each purchase.
   - Upgrade condition: Maintain revenue of over 3,000$ for 3 consecutive months.


2. Pricing Policy
• Partners can freely set their own selling prices.


3. Product Delivery and License Policy
• We will provide Partners with APIs to connect to our system (e.g., WHMCS, PHP, …).
• We will provide customized product versions branded with the Partner’s registered name.
• Each sold product can only be activated on a single domain.
• If a license is activated on more than one domain, an additional fee will be charged as a new product sale for each extra domain.
• Any fraudulent activity or intentional use of a license on multiple domains without prior notification will result in immediate license revocation and termination of partnership.


4. Security and Anti-Fraud Policy
• Each dealer account is assigned a unique API, tracking all transactions.
• To prevent partners from posing as customers to buy at discounted prices, we will:
   - Track login IPs and payment addresses to detect suspicious activities.
   - Require identity verification (KYC) if any unusual behavior is detected.
   - Strictly prohibit self-purchases to take advantage of discounts.
• Each dealer account can only make payments using registered bank accounts or e-wallets.
• Any fraudulent activity will result in the revocation of discounts and immediate termination of the partnership.


5. Return and Warranty Policy
• Digital products are non-refundable under any circumstances.
• Partners are responsible for customer care and technical support (if applicable).
• We only provide support for license-related issues such as activation, validity checks, and license management matters.


6. Partner Responsibilities
• Ensure to provide accurate and honest product information to customers.
• Not to copy, counterfeit, or distribute products outside of the official distribution channels.
• Comply with advertising, marketing, and branding regulations as per our guidelines.
• Take full responsibility for using their brand on the customized product version.
• Provide customer care and technical support throughout the product usage period.
• Not to exploit promotional policies to purchase products for themselves or collude with others to buy products at discounted rates.


7. Termination of Partnership
• The partnership may be terminated by either party with a 30-day prior notice.
• In the event of a breach of contract terms, we reserve the right to immediately terminate the partnership and request compensation for any damages (if applicable).
• After the termination, the Partner must immediately cease distribution and resale of the product and remove all advertisements related to our products.


8. Information Security
• Partners are committed to keeping all business, customer, and marketing strategy information confidential.
• All information is to be used solely for partnership purposes and cannot be disclosed to third parties without prior written consent.


9. General Terms
• Any amendments or supplements to the policies and partnership terms will be notified in advance and effective after both parties agree.
• In case of disputes, both parties will prioritize negotiation. If no agreement is reached, disputes will be resolved according to applicable laws.


We look forward to establishing a long-term and sustainable partnership with you. Compliance with the above policies and regulations will ensure the rights of both parties and bring satisfaction to customers.
